END-USER LICENSE AGREEMENT

The End-User License Agreement (hereinafter referred to as "LICENSE AGREEMENT") is a legal agreement between you (either an individual or a single legal entity) and Dexterous Software, on the software product of "Alligator Data Guard", including written materials, relevant media, and may include "online" or electronic documentation (hereinafter referred to as "SOFTWARE PRODUCT" or "SOFTWARE"). By installing, copying or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this LICENSE AGREEMENT. If you do not agree to the terms of this LICENSE AGREEMENT, you are not authorized to use the SOFTWARE PRODUCT.

The copyright of this SOFTWARE PRODUCT belongs to Dexterous Software. It is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Therefore, you are not authorized to duplicated this SOFTWARE and attached user manual(s) or other written materials, and you shall not obtain and use the electronic documents, such as the codes, text materials, images, video, music and sound, of this SOFTWARE.

The SOFTWARE PRODUCT is licensed, not sold.

GRANT OF LICENSE

Soft grants you the rights of installing and using the SOFTWARE PRODUCT only on one computer.

OTHER RESTRICTIONS

You shall not: (a) remove any product identification, copyright notices, or other notices or proprietary restrictions from this Software; (b) sell, lease, rent, copy or transfer this Software to another; (c) cause or permit reverse engineering, disassembly, decompilation or alteration of this Software except to the extent such restriction is expressly prohibited by applicable law.

TERMINATION

If you fail to comply with the terms or conditions of this LICENSE AGREEMENT, Dexterous Software may terminate this LICENSE AGREEMENT without affecting other rights. When this happens, you must destroy all copies of this SOFTWARE PRODUCT.

COPYRIGHT

All title and copyrights in and to the SOFTWARE PRODUCT and any copies of the SOFTWARE PRODUCT are owned by Dexterous Software or its suppliers. All title and copyrights in and to the materials accessed by this SOFTWARE PRODUCT belong to their respective owners and are protected by relevant copyright laws and other intellectual property laws and treaties. This LICENSE AGREEMENT does not authorize you to use the contents of such materials.

NO GUARANTY FOR DEFECTS

You shall be solely responsible for all losses and risks arising out of your use of this SOFTWARE PRODUCT. To the maximum extent allowed by relevant laws, Dexterous Software and its suppliers are not responsible for any defect guarantees or conditions, whether expressed or implied, including (but not limited to) implied guarantee responsibilities on fitness for a particular purpose and non-infringement.

NO LIABILITY OF COMPENSATION FOR CONSEQUENTIAL DAMAGES

To the maximum extent permitted by relevant laws, Dexterous Software or its suppliers are not responsible for special, consequential, direct or indirect damages (including but not limited to loss of operating profits, business interruption, data loss or other tangible or intangible damages/losses) caused by the use of this SOFTWARE PRODUCT. This provision does not differ whether or not you have informed Dexterous Software or its suppliers about the possibility that such damages may occur.

Under any circumstances, the maximum liabilities of Dexterous Software or its licensees shall be the purchase price of this SOFTWARE PRODUCT. The above disclaimers and statement of limitations shall apply whether you accept the SOFTWARE PRODUCT or not.
